I need a colleague who has been through the wringer on a proxy solicitation to provide me with some rough solicitation documents for a Trustee to solicit voting instructions on a fundamental corporate transaction-merger.

Is the Plan sponsor a private (non-public) company, and if so, do you have any disclosure materials describing the terms of the proposed merger transaction? You need securities counsel as well as ERISA counsel on this one. Generally, the trustee solicits a voting instruction by forwarding the proxy materials to participants along with a return voting instruction card.
